1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity, "you" or "your") and Light Reach, Inc. ("Light Reach," "we," "us," or "our") concerning your access to and use of the LightReach service (the "Service") at compress.lightreach.io.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms in their entirety, you must not access or use the Service.

2. Description of Service

LightReach is a SaaS platform that provides:

• Prompt Compression: Algorithms to compress LLM prompts and reduce token usage
• Intelligent Model Routing: Automatic model selection based on quality requirements and cost optimization
• Cost Analytics: Real-time tracking and attribution of LLM usage costs
• Budget Management: Tools to set spending limits and receive alerts
• Team Collaboration: Workspace sharing with role-based access control
• Managed Cloud Execution: Server-side execution through supported model providers
• Optional Provider Keys: Integration with your own LLM provider API keys when a specific account is needed

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You agree to:

• Provide true, accurate, and complete registration information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Be fully responsible for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you meet this age requirement.

3.3 Account Suspension and Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Non-payment of fees
• Any reason at our sole discretion with or without notice

4. Subscription Plans and Billing

4.1 Subscription Tiers

The Service offers multiple subscription tiers:

• Free: Limited features and usage (up to $20/mo included routed usage)
• Pro: Enhanced features and increased usage limits (up to $1k/mo included routed usage)
• Scale: Advanced features for growing teams (up to $5k/mo included routed usage)
• Enterprise: Full features, unlimited usage, and priority support

4.2 Payment Terms

• Paid subscriptions are billed monthly or annually in advance
• All payments are processed through Stripe
• You authorize us to charge your payment method on file for all fees
• Prices are subject to change with 30 days' notice
• All fees are non-refundable except as required by law or explicitly stated

4.3 Usage Limits

Each subscription tier has specific usage limits. If you exceed your plan's limits, we may:

• Throttle or temporarily suspend service
• Require you to upgrade to a higher tier
• Charge overage fees (where applicable and with notice)

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You will retain access to paid features through the end of your current billing period
• Your account will revert to the Free tier at the end of the billing period
• No refunds are provided for partial months or unused services

5. API Keys and Third-Party Services

5.1 Optional Provider Keys

Compress Cloud can execute requests without customer provider credentials. If you choose to provide your own API keys for a third-party LLM provider, you acknowledge:

• You are solely responsible for the security and proper use of your API keys
• You must comply with each provider's terms of service and acceptable use policies
• You are responsible for all costs incurred through your API keys with third-party providers
• We are not liable for any charges, rate limits, or service disruptions from third-party providers
• You grant us permission to use your API keys solely to provide the Service

5.2 Third-Party Provider Relationships

Requests made through Compress Cloud or with optional customer provider keys are subject to the applicable third-party provider terms:

• OpenAI (openai.com/policies)
• Anthropic (anthropic.com/legal)
• Google (policies.google.com)
• OpenRouter (openrouter.ai/terms)

We are not responsible for any third-party provider's actions, policies, or changes to their services.

6. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Use the Service for any illegal, harmful, or fraudulent activities
• Generate, store, or transmit content that is defamatory, obscene, or offensive
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Remove, obscure, or alter any proprietary notices on the Service
• Use the Service to build a competing product or service
• Exceed rate limits or abuse the API
• Share your account credentials with others

7. Intellectual Property Rights

7.1 Our Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, and arrangement) are owned by Light Reach, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7.2 Your Content

You retain all rights to content you submit through the Service ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute Your Content solely for the purpose of providing the Service to you.

7.3 Feedback

If you provide us with any feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to you.

8. Data Privacy and Security

Your use of the Service is also governed by our Privacy Policy, available at compress.lightreach.io/privacy. By using the Service, you consent to our collection and use of personal data as outlined in the Privacy Policy.

Key points:

• We do not store full prompt content (only truncated previews for analytics on Pro+ tiers)
• API keys are encrypted at rest and never returned after submission
• We implement industry-standard security measures
• You are responsible for maintaining the confidentiality of your account credentials

9. Service Availability and Modifications

9.1 Service Availability

While we strive to provide reliable service, we do not guarantee that:

• The Service will be available at all times without interruption
• The Service will be error-free or secure
• Any errors or defects will be corrected
• The results obtained from using the Service will be accurate or reliable

9.2 Scheduled Maintenance

We may perform scheduled maintenance that temporarily interrupts the Service. We will provide advance notice when possible.

9.3 Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

10. Disclaimers and Limitations of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIGHT REACH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or malicious code transmitted through the Service by any third party
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Service
• The costs incurred through your use of third-party LLM providers with your own provider credentials

10.3 Limitation of Damages

IN NO EVENT SHALL LIGHT REACH'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO LIGHT REACH IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Light Reach, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from:

• Your violation of these Terms
• Your violation of any third party's rights, including any intellectual property right
• Your use of the Service
• Your Content or any content you submit through the Service
• Your use of third-party LLM providers through your own provider credentials

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except as otherwise provided herein. The arbitration shall be conducted in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.

12.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending an email notification for significant changes

Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.

14. Termination

Either party may terminate this agreement at any time:

• You: By closing your account through account settings
• Us: By providing notice if you violate these Terms or for any reason at our discretion

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and data in accordance with our retention policies
• Provisions that by their nature should survive termination will survive (including ownership, warranty disclaimers, indemnification, and limitations of liability)

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Light Reach regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

15.5 No Third-Party Beneficiaries

These Terms do not confer any third-party beneficiary rights.
